TERMS & CONDITIONS

This end user license agreement (the "Agreement") should be read by you ("you" or "user") in its entirety prior to your use of Hetrafi’s services. Please note that this Agreement constitutes a legally binding agreement between you and Hetrafi being referred to herein as "Hetrafi", "us" or "we". Hetrafi has two roles: the Fight section is an E-sports knowledge and skill-based competition platform, while the Help and Trade sections are an online auction house that allows the exchange of video game goods and services. User-created jobs allow our users to exchange real money for their time gaming. These jobs fall under three distinct job types: Help jobs, where users offer or purchase help in their games for credits; Trade jobs, where users trade their virtual gaming goods for credits; and Fight section, where users can post any skill and knowledge-based challenge on a game to any other user. This challenge is NOT permitted to have any element of chance involved. Users may only issue or accept challenges with fixed sets of rules within their games, and no element of chance may be involved. Please note that in using the Site and/or the Game, you may be required to provide Hetrafi or an agreed-upon fellow user with certain personally identifiable information. Your use of the Site signifies that you have read, understand, and agree with these Terms and Conditions. It is prohibited to engage in or take part in any betting or wagering on the outcome of any game in the Fight section.

GRANT OF LICENSE/INTELLECTUAL PROPERTY

  • a. The Fight section of this Service is not for use by (i) individuals under 18 years of age, (ii) individuals under the legal age of majority in their jurisdiction, and (iii) individuals connecting to the Site from jurisdictions from which it is illegal to do so. Hetrafi is not able to verify the legality of the Service in each jurisdiction, and it is the User's responsibility to ensure that their use of the Service is lawful.
  • b. We reserve the right at any time to request from you evidence of age to ensure that minors are not using the Service. We further reserve the right to suspend or cancel your account and exclude you, temporarily or permanently, from using the Service if satisfactory proof of age is not provided or if we suspect that you are underage.
  • c. "Hetrafi" is the sole holder of all rights in the Software and the Software's code, structure, and organization, including copyright, trade secrets, intellectual property, and other rights. Furthermore, you agree that you will be solely liable for any damage, costs, or expenses arising out of or in connection with the commission by you of any Unauthorized Use. You shall notify "Hetrafi" immediately upon becoming aware of the commission by any person of any Unauthorized Use and shall provide evidence with reasonable assistance with any investigations it conducts in light of the information provided by you in this respect.
  • d. The term "Hetrafi" and domain names "(www.hetrafi.com)" are the trademarks, service marks, signs, trade names, and/or domain names of "Hetrafi" and/or its licensors, and these entities reserve all rights to such trademarks. In addition, all content on the Site, including but not limited to the Software, images, pictures, graphics, photographs, animations, videos, music, audio, and text (the "Site Content"), belongs to "Hetrafi" and/or its licensors and is protected by copyright and/or other intellectual property or other rights. You hereby acknowledge that by using the Service and the Site, you obtain no rights in the Site Content and/or the trademarks or any part thereof. Under no circumstances may you use the Site Content and/or the trademarks without prior written consent.

NO WARRANTIES

  • a. "Hetrafi" disclaims any and all warranties, expressed or implied, in connection with the Service, which is provided to you "AS IS," and we provide you with no warranty or representation whatsoever regarding its quality, fitness for purpose, completeness, or accuracy.
  • b. Regardless of our efforts to provide you with the service of the highest quality, safety, and security, we make no warranty that the Service will be uninterrupted, timely, or error-free, that defects will be corrected, or that the Software and the Site shall be free from viruses, bugs, or other contaminants.
  • c. "Hetrafi" reserves the right to suspend, discontinue, modify, remove, or add to the Service in its absolute discretion with immediate effect and without an obligation to provide you with notice where we consider it necessary to do so.

AUTHORITY

  • a. "Hetrafi" retains authority over the issuing, maintenance, and closing of Users' accounts on the Site. The decision of "Hetrafi" management regarding any aspect of a User's account, use of the Service, or dispute resolution is final and shall not be open to review or appeal.

YOUR REPRESENTATION AND WARRANTIES

Prior to your use of the Service and on an ongoing basis, you represent, warrant, covenant, and agree that:

  • a. "Hetrafi" is not responsible for any loss.
  • b. Your use of the Service is at your sole option, discretion, and risk.
  • c. You will need to provide us with certain personal details about yourself (including details regarding your methods of payment). "Hetrafi" will process your personal details in compliance with the data protection laws and regulations of the European Union.

PROHIBITED USES

  • a. The Service is intended solely for the User's personal use. The User is only allowed to wager for his/her personal entertainment. Under no circumstances shall a User be permitted to use his/her real money account provided by "Hetrafi" for any purpose other than for using the Service. The User must provide full and truthful information regarding all details and information provided by the User to "Hetrafi." The User must update any change in that information when applicable.
  • b. Collusion between Users by any method is strictly forbidden. Hetrafi retains the right to terminate any User account based on what it deems as collusion.
  • c. In the event that Hetrafi deems that a User has engaged or attempted to engage in fraudulent, unlawful, dishonest, or improper activity while using the Service, including without limitation engaging in any of the activities set forth in this clause 5 or any other game manipulation or the making of any fraudulent payment, including without limitation use of a stolen credit card or fraudulent chargeback or money laundering, "Hetrafi" shall be entitled to take such action as it sees fit, including, but not limited to: i. immediately blocking a User's access to the Service; ii. terminating a User's account with Hetrafi; iv. disclosing such information (including the identity of the User) to financial institutions, relevant authorities, and/or any person or entity that has the legal right to such information; and/or v. taking legal action against a User.

OFFENSIVE LANGUAGE

  • a. The User is prohibited from posting any unlawful, indecent, racist, obscene, libelous, defamatory, or threatening material or any material that would violate any law or generally be considered to be offensive via the Service.

BREACH

  • a. Without prejudice to any other rights, if a User breaches in whole or in part any provision contained herein, Hetrafi reserves the right to take such action as it sees fit, including terminating this Agreement or any other agreement in place with the User, immediately blocking the User's access to the Service or to any other service offered by Hetrafi, terminating such User's account on the Site or on any other site operated by Hetrafi, seizing all funds held in the User's account on the Site or on any other site operated by Hetrafi, and/or taking legal action against such User.
  • b. You agree to fully indemnify, defend, and hold harmless Hetrafi, its shareholders, directors, and employees from and against all claims, demands, liabilities, damages, losses, costs, and expenses, including legal fees and any other charges whatsoever, howsoever caused, that may arise as a result of: i. your breach of this Agreement, in whole or in part; ii. violation by you of any law or any third party rights; and iii. use by you of the Service or use by any other person accessing the Service using your Login Credentials, whether or not with your authorization.

SECURITY AND YOUR ACCOUNT

  • a. Each User account shall be accessible through the use of a combination of a unique User ID ("User ID"), a unique and secret password ("Password"), and other optional numeric authentication methods that the User may select (the User ID, Password, and any other authentication features together being referred to as the "Login Credentials"). The User is obligated to choose his/her own User ID and Password in accordance with the rules relating thereto.
  • b. The User agrees that he/she is solely responsible for all use of the Service under his/her Login Credentials and that he/she shall not disclose the Login Credentials to any person whatsoever nor permit another person to use the Service via his/her User account.
  • c. The User is obliged to keep his/her Login Credentials secret and confidential at all times and to take all efforts to protect their secrecy and confidentiality. Any unauthorized use of the Login Credentials shall be the sole responsibility of the User and be deemed as his/her use. Any liability therefrom shall be that of the User.
  • d. Please note that monies held in your Hetrafi account do not accrue interest.
  • e. You are fully responsible for paying all monies owed to Hetrafi. You agree not to make any chargebacks and/or deny or reverse any payment made by you in respect of the Service. You will reimburse Hetrafi for any chargebacks, denial or reversal of payments you make, and any loss suffered by us as a consequence.

  • f. Hetrafi reserves the right to use third-party electronic payment processors and/or financial institutions to process payments made by and to you in connection with your use of the Service.

DISPUTES

  • a. The User accepts that if a dispute occurs, they are left to the judgment of the community. Judgments are normally final.
  • b. In extreme cases where the community's judgment is questionable, the user can request for the job to be re-judged by the Hetrafi admins.
  • c. Any judgments by the Hetrafi admins are final and cannot be challenged further.

PAYOUTS

  • a. The User accepts that Emexgo will process their payments.
  • b. The User accepts that we are only able to pay out to a card that has already paid any amount into the system already.

AMENDMENT

  • a. Hetrafi reserves the right to update or modify this Agreement or any part thereof at any time without notice, and you will be bound by such amended Agreement within 14 days of it being posted on the Site. Therefore, we encourage you to visit the Site regularly and check the terms and conditions contained in the version of the Agreement in force at such time.

GOVERNING LAW AND JURISDICTION

  • a. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. You irrevocably agree that the courts of [Jurisdiction] shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement.

ASSIGNMENT

  • a. Hetrafi reserves the right to assign this agreement, in whole or in part, at any time without notice. The User may not assign any of his/her rights or obligations under this Agreement.

MISCELLANEOUS

  • a. No waiver by Hetrafi of any breach of any provision of this Agreement (including the failure of Hetrafi to require strict and literal performance of or compliance with any provision of this Agreement) shall in any way be construed as a waiver of any subsequent breach of such provision or of any breach of any other provision of this Agreement.
  • b. Nothing in this Agreement shall create or be deemed to create a partnership, agency, trust arrangement, fiduciary relationship, or joint venture between you and us.
  • c. This Agreement constitutes the entire understanding and agreement between you and us regarding the Service and supersedes any prior agreement, understanding, or arrangement between you and us.
  • d. The User must provide full and truthful information in respect of all details and information requested by Hetrafi in connection with the User's use of the Service.

TERMS OF WEBSITE USE

  • a. These terms of use (together with the documents referred to in it) provide the terms of use subject to which a visitor, registered or non-registered user ("You") may access and use www.hetrafi.com ("Hetrafi"). For the purposes of these terms, use of Hetrafi includes, without limitation, accessing, browsing, or registering to use Hetrafi and is conditional on your acceptance of these terms of use.
  • b. Hetrafi is a site operated by Hetrafi LTD ("We," "Us"). We are incorporated under the laws of Companies House UK.
  • c. By using Hetrafi, you confirm that you accept these terms of use and that you agree to comply with them and that these terms constitute the sole agreement between You and Us in relation to your use of Hetrafi and any act or omission resulting from such use. If you do not agree to these terms of use, you must not use Hetrafi. Please read these terms of use carefully before you start to use Hetrafi, as these will apply to your use of Hetrafi. We recommend that you print a copy of this for future reference.
  • d. These terms of use include and incorporate, as an integral part hereof, the following, which also apply to your use of Hetrafi:
    • i. Our Privacy Policy, which includes our Cookie Policy, setting out the terms on which we process any personal data we collect from you, or that you provide to us. By using Hetrafi, you consent to such data processing, and you warrant that all data provided by you is accurate.
    • ii. Our Acceptable Use Policy, namely the terms under section II hereunder, which sets out the permitted uses and prohibited uses of Hetrafi. By using Hetrafi, you must abide by and comply with this Acceptable Use Policy.

ACCEPTABLE USE POLICY

This section contains our Acceptable Use Policy, setting out the terms between you and us under which you are allowed to access and use Hetrafi. This acceptable use policy applies to all users of, and visitors to, whether registered or not, Hetrafi.

  • a. Your use of Hetrafi means that you agree with, and accept to abide by, all the policies in this acceptable use policy, which form an integral part of the terms of use of Hetrafi.
  • b. The content on Hetrafi is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on Hetrafi.
  • c. Although we make reasonable efforts to update the information on Hetrafi, we make no representations, warranties, or guarantees, whether express or implied, that the content on Hetrafi is accurate, complete, or up-to-date, suitable for use in relation to any particular circumstances, conditions, or factual background.
  • d. Hetrafi is under no obligation to oversee, monitor, or moderate any aspect of your use of Hetrafi or any act or omission of yours on the basis of the Content, and our liability for any loss, harm, injury, or damage arising from the use of Hetrafi by you is hereby expressly excluded to your unconditional and irrevocable acceptance. The use of Hetrafi by a minor is prohibited.
  • e. You may use Hetrafi only for lawful purposes. You may not use Hetrafi:
    • i. In any way that breaches any applicable local, national, or international law or regulation.
    • ii. In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
    • iii. For the purpose of harming or attempting to harm any person in any way.
    • iv. To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these terms.
    • v. To transmit or procure the sending of any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam).
    • vi. To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
  • f. By using Hetrafi, you agree:
    • i. Not to reproduce, duplicate, copy, or re-sell any part of Hetrafi in contravention of the provisions of our terms of use.
    • ii. Not to access without authority, interfere with, damage, or disrupt:
      • 1. Any part of Hetrafi;
      • 2. Any equipment or network on which Hetrafi is stored;
      • 3. Any software used in the provision of Hetrafi; or
      • 4. Any equipment, network, or software owned or used by any third party.

CONTENT STANDARDS

  • a. These content standards apply to any and all information, data, and/or material that you contribute to Hetrafi ("Contributions") in the course of using Hetrafi or otherwise. You must comply with the spirit and the letter of the following standards. The standards apply to each part of any Contribution as well as its whole.
  • b. Contributions must:
    • i. Be accurate.
    • ii. Be genuinely held (where they state opinions).
    • iii. Comply with applicable law in the UK and in any jurisdiction from which they are posted.

SUSPENSION AND TERMINATION

We will determine, at our discretion, whether there has been a breach of these terms through your use of Hetrafi. When a breach of these terms has occurred, we may take such action as we deem appropriate.

  • a. Failure to comply with these terms constitutes a material breach of the same and may result in our taking all or any of the following actions:
    • i. Immediate, temporary, or permanent withdrawal of your right to use Hetrafi.
    • ii. Immediate, temporary, or permanent removal of any posting or material uploaded by you to Hetrafi.
    • iii. Issue of a warning to you.
    • iv. Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
    • v. Further legal action against you.
    • vi. Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
    • vii. If banned for breaching these terms, you will be unable to cash out your points.
  • b. We exclude liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.
  • c. We may revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you. Some of the provisions contained in this acceptable use policy may also be superseded by provisions or notices published elsewhere on Hetrafi.
  • d. We may update Hetrafi from time to time and may change the Content at any time. However, please note that any of the Content on Hetrafi may be out of date at any given time, and we are under no obligation to update it.
  • e. We do not guarantee that Hetrafi or any Content on it will be free from errors or omissions.
  • f. We do not guarantee that Hetrafi or any content on it will always be available or be uninterrupted. Access to Hetrafi is permitted on a temporary basis. We may suspend, withdraw, discontinue, or change all or any part of Hetrafi without notice. We will not be liable to you if for any reason Hetrafi is unavailable at any time or for any period.
  • g. You are responsible for making all arrangements necessary for you to have access to Hetrafi.
  • h. You are also responsible for ensuring that all persons who access Hetrafi through your internet connection are aware of these terms of use and other applicable terms and conditions and that they comply with them.
  • i. If you choose, or you are provided with, a user identification code, password, or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
  • j. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time if, in our reasonable opinion, you have failed to comply with any of the provisions of these terms of use.
  • k. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at admin@hetrafi.com.

INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in Hetrafi and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

  • a. You may print off one copy and may download extracts of any page(s) from Hetrafi for your personal use, and you may draw the attention of others to content posted on Hetrafi.
  • b. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences, or any graphics separately from any accompanying text.
  • c. Our status (and that of any identified contributors) as the authors of content on Hetrafi must always be acknowledged.
  • d. You must not use any part of the content on Hetrafi for commercial purposes without obtaining a license to do so from us or our licensors.
  • e. If you print off, copy, or download any part of Hetrafi in breach of these terms of use, your right to use Hetrafi will cease immediately, and you must, at our option, return or destroy any copies of the materials you have made.

LIMITATION OF LIABILITY

To the extent permitted by law, we exclude all conditions, warranties, representations, or other terms that may apply to Hetrafi or any content on it, whether express or implied, from giving rise to any liability against us.

  • a. We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
    • i. Use of, or inability to use, Hetrafi; or
    • ii. Use of or reliance on any content displayed on Hetrafi.
  • b. Please note that we only provide Hetrafi for domestic and private use. You agree not to use Hetrafi for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  • c. We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of Hetrafi or to your downloading of any content on it or on any website linked to it.
  • d. We assume no responsibility for the content of websites linked to Hetrafi. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.
  • e. Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any goods by use to you, which will be set out in our terms and conditions of supply.

VARIATIONS

We may revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you. Some of the provisions contained in these terms of use may also be superseded by provisions or notices published elsewhere on Hetrafi.

SEVERABILITY

If any court or competent authority decides that any of the provisions of these terms of use are invalid, unlawful, or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.

APPLICABLE LAW AND JURISDICTION

These terms of use, its subject matter, and its formation (and any non-contractual disputes or claims) are governed by and construed in accordance with the laws of the UK. You and we both agree to submit to the exclusive jurisdiction of the courts of the UK.
